2. THE BUSINESS CLUB MEMBERSHIP

The Business Club is a fractional marketing

membership that provides local business owners

with:

- Marvin AI concierge — contact management,

call answering, lead capture, and

appointment booking

- The P.A.S.S. marketing framework —

Prospect, Acquire, Sell, Support —

directed by Daniel Morel

- An AI execution team managing content,

SEO, campaigns, and local media

- Access to The Chicago Pulse publication

network

- Additional services based on membership tier

Services are delivered digitally and are

live within 24 hours of joining.

3. MEMBERSHIP TIERS AND BILLING

======================================================================

The Business Club offers four membership tiers:

Starter: $197.00 per month

Growth: $1,970.00 per month

Scale: $19,700.00 per month

National: $197,000.00 per month

All memberships are:

- Billed monthly in advance

- Month-to-month with no minimum term

- Cancelable at any time with no penalty

- Subject to no setup fees

Payment is processed securely through our

payment provider. By providing payment

information you authorize Co-op Business

Club LLC to charge your payment method

on a recurring monthly basis until

you cancel.

Prices are in US Dollars unless otherwise

stated.

4. CANCELLATION POLICY

You may cancel your membership at any time.

To cancel:

- Call 855-992-2011

- Or cancel directly in your member account

Cancellations take effect at the end of

the current billing period. You will

continue to have access to your membership

benefits until that date.

We do not offer refunds for partial months

or unused services. No questions asked

on cancellation.

5. SMS MESSAGING TERMS

The Business Club — SMS Program

By providing your phone number and opting

in to receive text messages from The Business

Club, you agree to the following terms.

Program description:

The Business Club sends text messages

including appointment confirmations,

service updates, account notifications,

and marketing communications to members

and contacts who have explicitly opted in.

Opt-out:

You can cancel SMS service at any time.

Text STOP to any message you receive

from us. After you send STOP, we will

send one final confirmation message to

confirm you have been unsubscribed.

After this you will no longer receive

SMS messages from us. To rejoin, sign

up again as you did initially.

Carriers are not liable for delayed

6. ACCEPTABLE USE

By using The Business Club you agree not to:

- Provide false or misleading information

during registration

- Use our services for any unlawful purpose

- Attempt to reverse engineer or copy

the P.A.S.S. system or any proprietary

framework

- Resell or sublicense membership benefits

without written permission

- Interfere with or disrupt our services

or servers

- Use our services to send spam or

unsolicited communications to third parties

We reserve the right to suspend or

terminate memberships that violate

these terms without refund.

7. INTELLECTUAL PROPERTY

The following are the exclusive property

of Co-op Business Club LLC:

- The Business Club name and brand

- The P.A.S.S. system and framework

- Marvin AI concierge name and character

- All website content, copy, and design

- All publications including The Chicago

Pulse and associated Pulse publications

You may not reproduce, distribute, or

create derivative works from any of the

above without explicit written permission

from Co-op Business Club LLC.

Content created for your business as part

of your membership (blog posts, social

content, campaign copy) becomes your

property upon delivery.

8. DISCLAIMER OF WARRANTIES

The Business Club services are provided

"as is" and "as available."

We do not warrant that:

- Services will be uninterrupted or

error-free

- Results from using our services will

meet your specific expectations

- Marvin AI will capture 100% of all

inbound leads under all circumstances

We make reasonable efforts to maintain

service availability and performance

but cannot guarantee specific business

outcomes.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law,

Co-op Business Club LLC shall not be

liable for any indirect, incidental,

special, consequential, or punitive

damages arising from your use of our

services.

Our total liability to you for any claim

arising from your membership shall not

exceed the total amount you paid to us

in the 30 days preceding the claim.

any claims, damages, losses, or expenses
